Public Offer Agreement on the Provision of Legal Services

Private enterprise “Laudis”, registered in Ukraine, company code 32824598 (hereinafter - the 'Service Provider'), offers to an unlimited number of individuals (hereinafter referred to as 'You' or 'User') to enter into this Public Offer Agreement on the provision of legal services (hereinafter referred to as the 'Agreement' or 'Terms') based on the following provisions.

This Agreement shall be deemed concluded by and between the Service Provider and the User upon the acceptance of the Agreement by the User as it is described below. This Agreement shall be deemed concluded without its physical signing in each individual case.

  1. TERMS USED IN THE AGREEMENT

    1. Public offer (Agreement) – the offer of the Service Provider addressed to an unlimited number of persons, in accordance with Article 633 of the Civil Code of Ukraine, to conclude this Agreement on the terms specified by the Service Provider.
    2. Legal services, Services – services according to the selected list and scope, posted on the Website of the Service Provider, which are rendered on specified terms hereunder.
    3. User – a natural or legal person who orders or intends to order Legal services to be rendered by the Service Provider.
    4. Service Provider's Website, Website – the web page: laudis.ua
    5. Acceptance – the full and unconditional agreement of the User to conclude this Agreement, which is carried out by the User performing all of the following actions:
      • ticking the box next to "I agree to the terms of the Public Offer" on the website laudis.ua and clicking the "continue" button;
      • payment by the User for Legal Services in accordance with the terms of the Agreement.
    6. Personal data – User’s information in written (paper), photo, electronic, and other forms, including, but not limited to, the following data: name, surname, patronymic/name, date of birth, passport data, identification number, contact information, email address, mobile phone number, place of birth and residence etc.
  2. SUBJECT OF THE AGREEMENT

    1. Based on this Agreement, the Service Provider provides Legal Services to the User, and the User accepts and pays for them.
    2. The place of Service provision is considered to be the location of the Service Provider (Ukraine). Services may be provided in other countries, as indicated separately on the Service Provider's Website.
  3. PAYMENT FOR SERVICES

    1. The cost of Legal services and the payment procedure under this Agreement are specified on the Service Provider's Website. The User pays for Legal services by non-cash transfer using a bank card or bank transfer to the Service Provider's account, based on an invoice from the Service Provider.
    2. Services are provided upon receipt of payment in the amount of 100% to the current account of the Service Provider, or in another manner as indicated on the Service Provider's Website.
  4. PAYMENT PROCEDURE

    1. The Service Provider accepts the following forms of payment:
      • Visa
      • Mastercard
    2. By accepting of the Agreement the User agrees to provide current, complete, and accurate information on the person of the User, ordered Services and any other information, which is provided for the Service Provider and is necessary for Service provision. The User is obliged to promptly update the information which is provided for the Service Provider, including without limitations email address, payment method, and payment card expiration date, for the successful completion of the transactions hereunder.
    3. All payments hereunder shall be made in UAH, USD, EUR, GBP as it is chosen by the User.
    4. The Service Provider reserves the right to refuse to provide the Services unilaterally with subsequent compensation of the funds paid by the User for the non-provided Service in the cases and as it is prescribed hereunder.
  5. RIGHTS AND OBLIGATIONS OF THE PARTIES

    1. The Service Provider undertakes:
      1. To provide Legal Services in a timely, qualitative, and complete manner as provided by this Agreement.
      2. To refund to the User the value of the Legal Services not provided if they cannot be provided for reasons beyond the User's control. Compensation of funds for not provided Service shall be made after deducting the bank commission, i.e., in an amount not exceeding the sum that the Service Provider actually received from the User.
      3. Service Provider refunds the value of the not provided Legal Services under the clause 5.1.2 hereof within 30 (thirty) calendar days from the date of the User's request for refund.
    2. The Service Provider has the right:
      1. To inform the User about the progress and procedure of providing Services, necessary actions, and documents that the User must perform/ provide for the provision of the Services.
      2. To refuse to provide the Services without explaining the reasons, returning to the User the funds paid by him as it is prescribed herein.
      3. To change the procedure of Legal services provision and their cost without new conclusion of this Agreement by publishing the changes on the Service Provider's Website unilaterally. Such changes will take effect for the User upon their next acceptance of the Agreement. The cost of already ordered and paid Services cannot be changed by the Service Provider.
      4. To verify the User's identity regarding their business reputation and whether they are wanted, under criminal prosecution, or involved in other potential violations of applicable laws, and to refuse the User to provide the Services on this basis.
      5. To disclose any information, if necessary, in accordance with Ukrainian legislation, at the lawful request of authorized state authorities, informing the User of such request. In this case, the legitimacy of such request shall be verified by the Service Provider before disclosing the information. The Service Provider informs the User on such request before disclosure of information (when possible, according to the law).
    3. The User undertakes:
      1. To provide the necessary information and documents for the provision of Legal Services. The documents must be real, and the information exact. When providing photos for the Service, if requested, the User should provide such a photo of a proper quality and format specified in the Service description on the Website.
      2. To appear personally with the necessary documents at the locations designated by the Service Provider in case of choosing Services that require the User's presence.
      3. To pay for Legal services in accordance with Section 3 and 4 of this Agreement.
      4. Not to make payment for Services after receiving a prior refusal to provide the Services from the Service Provider.
    4. The User has the right to:
      1. To receive Legal services in a timely, high-quality manner and in full in accordance with the terms of this Agreement.
  6. USER REPRESENTATIONS

    1. The User represents and warrants the following: (1) all submitted information is true, accurate, current, and complete; (2) the User will maintain the accuracy of such information and promptly update such information in case of its changes; (3) the User has the legal capacity for conclusion of this Agreement and agrees to comply with the terms hereunder; (4) the User is an adult according to the laws of the jurisdiction in which the User resides; (5) The User will not access the Website through automated or non-human means, whether through a bot, script or otherwise; (6) the User will not use the Services for any illegal or unauthorized purpose; and (7) use of the Services will not violate any current law or regulations.
    2. If User provides any information (including documents etc.) that is untrue, inaccurate, not current, or incomplete, the Service Provider has the right to suspend or refuse any and all current or future Service provision.
  7. PROHIBITED ACTIONS

    1. The User undertakes not to use the Services for any purpose other than that for which the Services are rendered. The User undertakes not to use Services in connection with any commercial endeavors except those that are specifically approved by the Service Provider.
    2. Accepting the terms hereof, the User undertakes not to:
      • Systematically retrieve data or other information about Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from the Service Provider.
      • Trick, defraud, or mislead the Service Provider or other Users.
      • Disparage, tarnish, or otherwise harm, the Service Provider.
      • Use any information obtained from the Services provision with the purpose to harass, abuse, or harm another person.
      • Use the Services in a manner inconsistent with any applicable laws or regulations.
      • Remove any references to any copyright or other property rights when using the information, contained on the Website.
      • Upload or transmit (or attempt to upload or to transmit) viruses, or other material, that acts as a passive or active information collection or transmission mechanism.
      • Use the Services/results of its rendering as part of any effort to compete with the Service Provider or otherwise use the Services/results of its rendering for any revenue-generating endeavor or commercial activities.
  8. RESPONSIBILITIES OF THE PARTIES

    1. The parties shall be liable for non-performance or improper performance of their obligations under this Agreement in accordance with the current legislation of Ukraine.
    2. The Service Provider is not liable for the consequences of the User provision of incorrect information, documents and/or selecting incorrect answers to questions etc.
    3. The Service Provider shall not be liable to the User for the actions of state authorities, local government bodies, or third parties.
    4. The Service Provider is not liable and does not refund the paid amount if the User selects a Service according to which User is supposed to be personally present in certain authorities or at notary office, but fails to appear there.
    5. The Service Provider is not liable for changes in the provision of Services caused by changes in the legislation of Ukraine, regulatory acts, or the practice of their application by state authorities, and undertakes to promptly inform the User of such changes and provide him with all necessary information on how the User can achieve the expected result and provide assistance in this regard.
    6. The Service Provider should not be liable to the User or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from use of the Services. Service Provider’s liability to the User for any cause whatsoever will at all times be limited to the amount paid by the User hereunder.
  9. CONFIDENTIALITY

    1. The parties have agreed to consider all information, any materials and information, Personal data necessary for the provision of Services in accordance with this Agreement as confidential information. At the same time, the information and content of the documents provided by the User to the Service Provider may be disclosed by the latter at the request of competent state authorities, including law enforcement agencies, courts, etc.
    2. Confidential information may not be transferred to third parties without the prior written consent of the other party to this Agreement, except as provided by applicable law and this Agreement. The Service Provider is entitled to provide the confidential information of the User to the third parties (including employees, partners, state authorities etc.) if it is made exclusively with the purpose of Service provision and in the scope which is sufficient for a specific type of Services.
  10. PERSONAL DATA

    1. The Service Provider may only use Personal Data of the User for the provision of the Services and must delete them from its resources, media, and physical storage after the provision of the Services.
    2. By accepting this Agreement, the User consents to the collection, processing, storage and transfer of the User’s Personal data (including receiving, entering into a database, destroying, and other actions that the Service Provider may take) solely for the purpose of providing the Services.
    3. The Service Provider undertakes to ensure the proper protection of Personal data from unlawful processing and unauthorized access in accordance with the requirements of Ukrainian legislation on the protection of personal data.
    4. By accepting this Agreement, in accordance with the Law of Ukraine "On Personal Data Protection" dated June 1, 2010, No. 2297-VI, the User consents to the collection, processing and storage of the User’s Personal data solely for the provision of the Services and only for the term of the provision of the Services or until the termination of the Agreement when it seems impossible to provide the Services.
  11. FINAL PROVISIONS

    1. These Agreement shall remain in full force and effect until the Parties fulfil their obligations hereunder, unless otherwise provided by the Agreement.
    2. The Service Provider reserves the right to amend this version of the Agreement unilaterally. When amending the Service Provider restates a new version of the Agreement and places the last on the Website. The new version of the Agreement should contain the date of its placement on the Website.
    3. In legal relations between the Parties, the version of the Agreement accepted by the User shall apply.
    4. The Agreement ceases to be effective after the Parties fulfill their obligations hereunder, unless the Parties agree otherwise. In case of impossibility of providing Legal services due to circumstances beyond the Service Provider's control and such circumstances last longer than 6 months, the Agreement is considered terminated.
    5. This Agreement is concluded in Ukrainian and English, does not require bilateral signature and is valid for the Parties in electronic form.
